Sovereign International Human Capital Agency

Code of Governance & Terms of Engagement

Every engagement with our international agency — for clients and candidates alike — is governed by a single code. These are the rules under which we admit, vet, represent and place exceptional people.

1

Candidate Selection and Professional Standards

Open to Global Excellence

Leroy-M welcomes qualified candidates from around the world. Selection is based on professional competence, relevant experience, personal integrity, discretion, and suitability for the specific role and working environment.

Structured Evaluation

Every candidate undergoes a structured evaluation process tailored to the position, which may include interviews, skills assessments, reference checks, and verification of qualifications and professional history.

2

Confidentiality and Data Protection

Highest Regard for Privacy

All client and candidate engagements are handled with the highest regard for confidentiality and privacy. Non-disclosure agreements and confidentiality clauses are implemented where appropriate.

Controlled Access

Personal information, client identities, household details, and sensitive operational information are handled through controlled access procedures and appropriate data protection measures. Information is shared only when authorized or legally required, in accordance with applicable laws and contractual obligations.

3

Background Checks and Candidate Vetting

Role-Specific Vetting

Leroy-M applies a thorough, role-specific vetting process to ensure that candidates meet the requirements of each placement. Depending on the position, this process may include identity verification, employment history checks, professional references, qualification verification, legally permissible background checks, and relevant practical assessments.

Additional Scrutiny for Sensitive Roles

Positions involving personal security, childcare, private aviation, or other sensitive responsibilities receive additional scrutiny appropriate to the nature of the role. Any material misrepresentation, breach of confidentiality, or failure to meet essential professional requirements may result in the candidate's rejection or removal from consideration.

4

Candidate Representation and Service Continuity

Tailored Representation

Leroy-M provides tailored recruitment and placement services designed to meet the individual requirements of private clients, family offices, executive households, and other organizations.

Continuity of Service

Where agreed with the client, the agency may maintain a shortlist of suitable alternative candidates to support continuity of service and facilitate replacement when necessary. The scope of representation, placement conditions, replacement arrangements, and any applicable guarantees are defined in the relevant client agreement.

5

Long-Term Placement and Professional Continuity

Lasting Working Relationships

Leroy-M values long-term professional relationships and placements that support the evolving needs of clients, private households, and family offices. Candidate selection takes into account not only immediate job requirements but also professional compatibility, adaptability, reliability, and the potential for a lasting working relationship.

Ongoing Support

Where appropriate, the agency may provide ongoing placement support and assist clients with future recruitment needs to promote consistency and continuity of service.

6

Professional Conduct and International Standards

High Standards of Conduct

All candidates represented by Leroy-M are expected to maintain high standards of professionalism, discretion, integrity, cultural awareness, and respect for client privacy. For positions involving diplomatic environments, private aviation, maritime operations, personal protection, or international estates, additional qualifications, certifications, and professional standards may apply.

International Compliance

International placements are conducted subject to relevant immigration requirements, employment laws, licensing obligations, and applicable industry regulations in the jurisdictions concerned.

7

Dispute Resolution and Applicable Law

Governed by Agreement and Law

Any dispute arising from an engagement with Leroy-M shall be addressed in accordance with the terms of the applicable agreement and the laws governing that engagement.

Confidential Arbitration in Geneva

Where agreed in writing by the relevant parties, disputes may be referred to confidential arbitration in Geneva, Switzerland, under the applicable arbitration rules and legal framework. The parties shall respect their contractual confidentiality obligations throughout any dispute resolution process, subject to applicable legal requirements and the rights of the parties under relevant law.
